The Seller acknowledges that there are no warranties or representations concerning the Service,except Clause 11 herein above.Any applicable warranty claim must be made within thirty (30) days after any alleged breach.In the event of the failure of the Service to perform substantially in accordance with Clause 11 herein above,the Seller’s sole remedy will be to receive a refund of any charges paid by it for such nonconforming part of the Service.The warranties and remedies stated in this Agreement are exclusive.There are no statutory or implied warranties or terms of any kind relating to the Service.The Buyer does not warrant that the Service will meet the Seller’s requirements or that the operation of the Service will meet any standard of merchantability or satisfactory quality or be uninterrupted or error-free,nor does the Buyer warrant the accuracy,completeness,timeliness or usefulness of the Service or any databases to which it makes access available.
The liability of the Buyer to the Seller for any type of loss or damage caused by or arising out of the provision of or failure to provide the Service and related services or any delay in or malfunction or failure of the Service and related services,regardless of the form of action,whether in contract or tort,including claims of negligence,will not exceed in the aggregate,the total amount paid by the Seller to the Buyer for Service in the three (3) months preceding the event which is the cause of liability.The Buyer will not be liable to the Seller for special,incidental or consequential loss or damage,or business interruption or loss of profit or data,arising from its provision of or failure to provide the Service and related services to the Seller or from any delay in or malfunction or failure of the Service (even if the Buyer has been advised of the possibility of such damages),whether or not caused by the Buyer’s negligence.
