17-2 Default by Contractor/Buyer:
a) In case Buyer cancels the order with Seller due to any reason except force majeure,Seller has the right to keep the advanced payment as compensation.
18- Arbitration:This contract entered into on application thereof shall be governed by the law of Swiss.
Any dispute,controversy or difference which may arise between the parties out of or in relation to or in connection with this contract thereof shall be amicably settled by consultation between the parties.
All such disputes,controversies and differences,if not settled amicably,shall be finally settled by arbitration to be held at Zurich,Switzerland under the Rules of Arbitration of the International Chamber of Commerce.
19-ARTICLE :Competence:
Any dispute arising out or in connection with this agreement shall be settled without recourse to the court,in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce,by three arbitrators designated in conformity with those Rules,the awards being final and binding.The arbitration shall take place in Geneva and be conducted in Swiss.The arbitrators shall have power to rule on their own competence and on the validity of the agreement to submit to arbitration.
16-2.Upon occurrence of force majeure the party who claims that force majeure has affected him shall notify the other in within 15 days,reasons,nature and time of occurrence of force majeure and estimated delayed time arising from force majeure and his recommendations for elimination of the problems.In this case the validity of the contract as well as the payment shall be extended with the consent of the parties.Meanwhile,the case of the force majeure shall be confirmed by the local chamber of commerce.
3.Should such event last more than two consecutive months,the parties shall meet to agree on necessary decisions.
4.Should the force majeure last more than 2 months and should the parties not reach an agreement ,the party which force majeure has not affected,can cancel the contract unilaterally.
In case of any force majeure situation both the parties will help each other recover their losses and share the cost on 50:50 basis.

17-2承包商/买方违约：
a)如果买方取消与卖方的订单,除不可抗力原因外,其他情况下,卖方有权保留预付款作为赔偿.
18-仲裁：此次合约签署将申请由瑞士法律管理.一切可能出现的争端,分歧或争议,由当事人或者与此合同有关方面应通过双方之间协商会议友好解决.所有可能出现的争端,分歧或争议,若没有得到解决,将最终在瑞士苏黎士按照国际商会仲裁规则进行仲裁.
19-条款：权限
一切可能出现的争议,由非当事人或者与此协议有关方面将不求助于法庭,要按照国际商会调节及仲裁规则认定的三方仲裁人根据这些规则进行的处理具有最终约束力.
16-不可抗力
1.如果合同义务的履行因不可抗力事件而被推迟或阻止时,即不可抗力无法控制的声称它和不可预见,就像（但不局限于）战争,革命,暴乱,洪水,地震,罢工和遇到从中国出口或进口到伊朗的禁令,双方应免除合同规则义务下的不可抗力因素.
