1.General Rules
1-1 The Contract is hereby set out and agreed to between Party A and Party B with regard to Party A’s supply of commodities for Party B for sales within the People’s Republic of China based on the principles of equality,good faith,fairness,honesty and credibility,for the purpose of safeguarding legal rights of both parties hereto and specifying the performance of obligations hereunder.
1-2 The Contract and all orders and supplementary agreements signed by both parties within the valid term of the Contract constitute the integral Purchase and Sales Contract which is binding on both parties.
2.Representations,Covenants,and Warranties
Either party represents,covenants and warranties to the other party that on the date hereof and during the validity term:
2-1 Terms and conditions herein shall constitute its obligations with legal effect from the effective date of the Contract;
2-2 All commodities and the quality,specifications and standard of the materials thereof comply with existing state laws,regulations and rules;
2-3 As the owner of all legal rights and interests of the commodities,Party A possesses the ownership,manufacturing rights,sales rights and intellectual property rights of the commodities;
2-4 Party A promises to provide relevant documents,receipts,invoices,certificates and other relevant materials for all commodities and to pay all tariff and other taxes of imported commodities whichimposed within the territory of Korea,in accordance with the laws,in other words,all tariff and other taxes which occurred out of Korea should be paid by Party B,and Party A warrants that no smuggled commodity will be provided,but,the smuggled goods which done by any third party regardless of Party A’s knowledge or will or control should be considered as exemption.In other words,if Party B doesn’t prove the smuggled goods would be done by Party A,that smuggling should be considered to be not related to Party A.
2-5 Party A undertakes that the rest service life of the commodity shall be neither less than 2/3 of total service life nor less than twenty four (24) months after the delivery date of the commodity.
4.Transfer of Subject Matter
4-1 Party A undertakes to deliver the commodities ordered by Party B to the designated address as per the order within thirty (30) working days after receipt of the order.All risks,expenses (including but not limited to expenses for commodity transportation insurance) and expenditures shall be borne by Party A.
5.Price,Amount and Payment
5-1 The supply price of Part A shall be presented as retail price with certain discount:the detail price shall be subject to Attachment (/),or Party A may list CIF HK in Attachment (1).
5-2 The payment term is 30% in advance,70% after sending the copy B/L (TT ways)
7.Confidentiality
Party A shall keepconfidential all commercial information,technical information and other information gained by it during the execution and performance of the Contract as well as the presence of the Contract and articles thereof.But,but,this all information should be restricted to only the information which Party B has gained and has possessedas his official property.Without written consent of Party B,Party A shall not disclose the same or apply the same for other purpose.Party A shall take necessary measures to ensure that its employees abide by such confidentiality obligation.Furthermore,such obligation shall survive the termination of the Contract.
