Definition of the information/data
Obligation of the Service Provider :
Confidentiality:
Protection
Restriction of Access:number of Employees having access to it,access limited to what is necessary to provide the service
Processing of data:in course of the services no for any other purposes,the processing doesn’t give any right over the information to the Service Provider
No extraction of data allowed,except in the course of the Services.
Representation and warranties of Service Provider:using the ones in the Standard Clauses.
Agree to provide the services in compliance with the agreement.If not possible,will promptly notify XXX.
Warrants that the applicable law doesn’t prevent from providing the service.
Warrants that it has implemented appropriate technical security measures
Agree to promptly deal and answer to request from XXX and cooperate with the competent authority as the case maybe.
Service Provider agrees to be audited by XXX staff upon XXX request.
Notification in case of breach:the Service Provider will immediately notify XXX in case of breach of security or breach of Service Provider obligation and will provide full information about the breach and the way to remedy to the breach.
Sub-contracting :no sub-contracting authorized except with prior written approval of XXX.XXX should have access to the sub-contractor in the same way as for Service Provider
Liability:
Liability in case of breach
Service Provider remains liable in case of sub-contracting.

Competent Jurisdiction :Chinese jurisdiction or Arbitration
Cooperation with Supervisory Authorities:Access by the Regulator to the Service Provider

提供服务方需履行的义务：
保护等级：保密
访问限制：有权限的员工才能访问：只能访问需要提供的服务内容
数据处理：在服务过程中不参杂其他的目的,在处理过程中不能给提供服务方开放更多的信息权限.除了在提供服务时工作需要,一律不允许调取数据.
提供服务方承诺：使用标准版的协议,同意在遵守协议的框架内提供服务,如有因故不能提供服务,将及时通知XXX
保证按相关法律提供各项服务
保证按相关安全技术措施开展服务
同意对XXX提出的问题,及时处理并给予答复,在必要的时候将配合有关主管部门共同处理.
服务提供方同意在XXX的要求下对XXX的员工进行审查.
违约告知：在安全问题或者服务提供方出现任何违约情况时,服务提供方将立刻通知XXX,提供详细的关于违约以及补救措施的信息
分包合约：不允许任何没有XXX事先书面同意的分包.XXX应当与服务提供方有同等权利接触分包商.
责任：违约责任
在分包合约中,服务提供方依然负有法律责任

有效管辖权：中国司法管辖仲裁
合作监督部门：对服务提供方进行监管的部门负责
