4.  Warranties.  Subject to the other terms and conditions of this contract,the Seller warrants that the goods or services to be provided hereunder shall conform with the description(s) on the face hereof.  If the goods shall be manufactured or provided by any third party,the Seller shall provide the Buyer with any warranty supplied to the Seller in respect of such goods and the Buyer shall look solely to such warranty in case of any problem with the goods.           THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OF THE SELLER.  IRREGULARITIES OR DEFECTS BEYOND THE CONTROL OF THE SELLER ARE NOT COVERED BY THIS WARRANTY.  THERE ARE NO WARRANTIES,INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A  PARTICULAR PURPOSE,EXPRESS OR IMPLIED,BEYOND THE SPECIFIC WARRANTY ABOVE.  ALL WARRANTIES OF NON-INFRINGEMENT OF ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHTS ARE HEREBY EXCLUDED.  The Seller shall not be liable for normal manufacturing or production defects or for customary variations in goods.
5.  Claims.  The Buyer shall inspect the goods upon arrival and shall within five (5) business days of arrival give written notice to the Seller of any defects or claim that the quantity or quality of the goods does not conform with the contract terms,or with any applicable law,rule or regulation,and the Buyer shall be bound to accept and pay for the goods in accordance with the contract terms. Such written notice must clearly specify the ground and nature of the claim,the goods affected,and the amount of damage alleged.  The Seller or its agent shall have the right to inspect and/or test the goods in question and,upon request of the Seller,the Buyer shall have the goods inspected and tested by an independent laboratory or inspector reasonably acceptable to the Seller,at the Buyer’s cost and expense,and the Buyer shall promptly deliver to the Seller a certified copy of the report issued by such independent laboratory or inspector.  Failure to present any such claim within the time specified above or to strictly comply with all other provisions of this paragraph shall constitute a waiver by the Buyer of each and every such claim and shall constitute the Buyer’s unconditional acceptance of the goods.  Further,the Seller shall not be liable for any claim concerning goods which have been modified,processed or other used in any manner.  The Buyer expressly waives any rights to revoke acceptance after such five (5) business day period.  Claims of late delivery are barred unless made prior to receipt of goods,and the receipt of any goods shall constitute a waiver of any claim that it was delivered late.

5.索赔.买方应检查货物到达后,应当在五(5)工作日的到来给书面通知卖方的任何缺陷或声称货物的数量或质量不符合合同条款,或任何适用的法律、规则或规定,买方必须接受和支付货物按照合同条款.这样的书面通知必须明确指定的地面和性质这一说法,受影响的产品,所谓的伤害.卖方或其代理人有权检查和/或测试货物的问题,卖方要求,买方应货检查和测试由一个独立的实验室或检查员接受卖方合理,在买方的成本和费用,买方应及时向卖方出具的认证副本报告这样的独立实验室或检查员.失败存在任何此类索赔或严格遵守以上规定的时间内的所有其他规定这一段由买方应构成放弃每一个这样的声明和应当构成商品的买方无条件的接受.此外,卖方不承担任何索赔有关货物已被修改,处理或其他以任何方式使用.买方明确放弃任何权利撤销验收后五(5)工作日内.迟交的说法是被禁止的,除非收到货物之前,和任何商品的收据应构成放弃任何声称,它是晚了.
