随着中国改革开放的不断深入,外商在华直接投资不断增大,但原先备受青睐的合资形式却逐渐被外商在华独资抢占风头.本论文先参照国内外的企业演化理论对影响中外合资企业的因素分为两类：外部因素和内部因素.其中外部因素包括市场因素、政策因素以及投资结构变动因素；内部因素包括跨国公司知识与经验积累因素和合资企业制约因素.再根据22年以来外商在华投资的数据结合上述各影响因素对中外合资企业的发展趋势做了分析；最后将当下最为热门的达能·娃哈哈事件作为案例,分析其冲突的原因,阐述政府、企业应如何解决此类问题.并由此提出中外合资企业的演化过程大致分为选择阶段、百废待兴阶段、发展阶段、被独资化四个阶段.
